1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Ducktail Garage mobile application and website (collectively, the "Service"), operated by Ducktail Digital Ltd ("we", "our", or "us"), a company registered in England and Wales.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. About the Service

Ducktail Garage is a motorsport content management platform that connects photographers, car owners, and racing teams. The Service allows users to upload, organise, share, and manage photographs and media related to motorsport events.

3. Account Registration

To use certain features of the Service, you must create an account. When registering, you agree to provide accurate and complete information and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at privacy@ducktail.team if you become aware of any unauthorised use of your account.

We reserve the right to refuse registration or to cancel accounts at our discretion.

4. Subscription Plans and Payments

4.1 Free and Paid Plans

The Service offers a free tier with limited functionality, as well as paid subscription plans that provide access to additional features. Details of available plans and pricing are displayed within the Service and may be updated from time to time.

4.2 Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Payments are processed securely through Stripe. By subscribing to a paid plan, you authorise us to charge the applicable fees to your chosen payment method on each billing date.

4.3 Cancellation and Refunds

You may cancel your paid subscription at any time through the Service. Upon cancellation, you will receive a pro-rata refund for the unused portion of your current billing period. Following cancellation, your account will revert to the free tier at the end of the current billing period, and you will retain access to paid features until that date.

4.4 Price Changes

We may change subscription pricing from time to time. We will provide you with at least 30 days' notice of any price increase. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all photographs, media, and other content that you upload to the Service ("Your Content"). By uploading Your Content, you confirm that you have the necessary rights, licences, or permissions to do so.

5.2 Licence to Ducktail Digital

By uploading Your Content to the Service, you grant Ducktail Digital Ltd a worldwide, non-exclusive, royalty-free licence to use, reproduce, display, distribute, and modify Your Content for the following purposes:

  • Operating, providing, and improving the Service, including displaying Your Content to other users in accordance with your sharing preferences.

  • Marketing, promoting, and advertising the Service, including use of Your Content in promotional materials, social media, and on our website.

This licence continues for as long as Your Content remains on the platform and for a reasonable period after removal to account for caches and backups. You may revoke the marketing licence for specific content by contacting us at privacy@ducktail.team.

5.3 Team and User Rights

Where Your Content is shared with a team, car owner, or other user through the Service, those parties are granted a non-exclusive licence to view, download, and use that content in connection with their own motorsport activities, subject to any restrictions you set within the platform.

5.4 Our Intellectual Property

All rights in the Service itself, including its design, branding, software, and underlying technology, are owned by Ducktail Digital Ltd or its licensors. Nothing in these Terms grants you any rights in the Service other than the limited right to use it in accordance with these Terms.

6. Acceptable Use

You agree not to use the Service in any way that:

  • Violates any applicable law or regulation.

  • Uploads, shares, or distributes content that is illegal, offensive, defamatory, discriminatory, threatening, or otherwise objectionable.

  • Infringes the intellectual property rights or privacy rights of any third party.

  • Involves scraping, crawling, or any form of automated access to the Service without our prior written consent.

  • Involves reselling, redistributing, or sublicensing content obtained through the Service without the express permission of the content owner.

  • Impersonates any other user, team, or person, or misrepresents your affiliation with any entity.

  • Attempts to gain unauthorised access to the Service, other user accounts, or any systems or networks connected to the Service.

  • Introduces malware, viruses, or any other harmful code to the Service.

  • Interferes with or disrupts the integrity or performance of the Service.

We reserve the right to remove any content that violates these Terms and to take appropriate action against users who breach this acceptable use policy.

7. Account Suspension and Termination

7.1 Termination by You

You may delete your account at any time through the Service. Upon account deletion, your data will be retained for 30 days (as described in our Privacy Policy) before being permanently deleted.

7.2 Termination by Us

We reserve the right to suspend or terminate your account at our discretion, with reasonable notice, for any reason, including but not limited to breach of these Terms, conduct that we consider harmful to other users or the Service, or extended periods of inactivity.

Where reasonably practicable, we will provide you with notice before termination and an opportunity to export your data. In cases of serious or repeated breaches, we may terminate your account immediately without prior notice.

7.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. If you have an active paid subscription, you will receive a pro-rata refund for the unused portion of your billing period, unless termination was due to a material breach of these Terms by you.

8. Availability and Service Levels

We aim to maintain the availability of the Service at all times and will use reasonable efforts to minimise downtime. However, we do not guarantee uninterrupted or error-free access to the Service.

The Service may be temporarily unavailable due to scheduled maintenance (for which we will endeavour to provide advance notice), unscheduled maintenance or emergency repairs, factors outside our reasonable control including internet outages, hosting provider issues, or force majeure events.

We shall not be liable for any loss or damage arising from any interruption, suspension, or unavailability of the Service.

9. Limitation of Liability

9.1 Cap on Liability

To the maximum extent permitted by law, the total aggregate liability of Ducktail Digital Ltd to you for any and all claims arising out of or in connection with these Terms or your use of the Service shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim. If you are using the free tier and have not paid any fees, our total liability shall not exceed £50.

9.2 Exclusion of Certain Damages

To the maximum extent permitted by law, Ducktail Digital Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, howsoever arising, even if we have been advised of the possibility of such damages.

9.3 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the laws of England and Wales.

10. Indemnification

You agree to indemnify and hold harmless Ducktail Digital Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your use of the Service, any content you upload or share through the Service, or your violation of any applicable law or third-party rights.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, that the Service will be uninterrupted, timely, secure, or error-free, or that any defects in the Service will be corrected.

12. Modifications to the Service and Terms

12.1 Changes to the Service

We reserve the right to modify, update, or discontinue any part of the Service at any time, with or without notice. We will use reasonable efforts to notify you of significant changes that may affect your use of the Service.

12.2 Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms within the Service or by sending you a notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

13. Third-Party Services

The Service may integrate with or contain links to third-party services, including but not limited to Stripe for payment processing. Your use of such third-party services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party services, nor for any loss or damage arising from your use of them.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ducktail Digital Ltd regarding your use of the Service and supersede all prior agreements, understandings, or representations relating to the same subject matter.
